Matrix Web Digital provides digital design, development, technology, and related professional services.

AI Development and Automation

Website maintenance and care services

Other digital services agreed upon with a client.

The exact scope, deliverables, timeline, fees, revisions, and other project requirements will be defined in the applicable proposal, statement of work, invoice, or service agreement.

Before beginning a project, we may provide a proposal, estimate, statement of work, or other project documentation describing the services and deliverables.

A project becomes active when the applicable agreement has been accepted and any required initial payment has been received.

Only the services and deliverables specifically included in the agreed project scope are included in the project fee.

Requests that fall outside the agreed scope may require additional fees, additional time, or a separate agreement.

Clients are responsible for providing accurate and timely information, content, assets, approvals, feedback, credentials, and other materials reasonably required to complete a project.

Clients are also responsible for reviewing and approving deliverables within the agreed project timeline.

Delays in providing required materials, feedback, approvals, or access may affect project timelines and delivery dates.

Clients are responsible for ensuring that materials they provide to Matrix Web Digital do not infringe the intellectual property, privacy, publicity, or other rights of any third party.

Project fees, deposits, payment schedules, milestones, recurring charges, and other financial terms will be specified in the applicable proposal, invoice, or service agreement.

Unless otherwise stated in writing, Matrix Web Digital may pause work if required payments are not received when due.

Additional work requested outside the agreed scope may be billed separately.

The client's responsibility to pay for completed work is not automatically cancelled because a project is delayed due to missing content, approvals, feedback, credentials, or other client-provided requirements.

The number of revisions included in a project, if any, will be specified in the applicable project agreement.

Requests for additional revisions or changes outside the agreed scope may result in additional charges.

Clients are responsible for reviewing deliverables and providing feedback or approval.

Once a deliverable has been approved, subsequent changes may be treated as additional work and may be subject to additional fees.

We make reasonable efforts to meet agreed project timelines.

Project timelines may change due to delayed client feedback, unavailable content or credentials, changes in project scope, third-party services, technical issues, revisions, or circumstances outside our reasonable control.

Any estimated completion date is therefore subject to the conditions and dependencies of the applicable project agreement.

We will communicate material project delays when reasonably possible.

Projects may require third-party products or services, including hosting, domain registration, payment processors, email services, cloud infrastructure, software licenses, APIs, plugins, analytics platforms, AI services, or other external tools.

Third-party services may have their own fees, terms, privacy policies, limitations, and availability requirements.

Unless expressly stated otherwise in a written agreement, Matrix Web Digital is not responsible for changes, outages, pricing, policies, security incidents, or performance issues caused by third-party services.

Any third-party fees that are required for a client's project may be the client's responsibility as specified in the applicable agreement.

Unless otherwise stated in a written agreement, Matrix Web Digital retains ownership of its pre-existing materials, proprietary processes, internal tools, reusable components, frameworks, templates, concepts, methods, and know-how.

Ownership or licensing of final project deliverables will be determined by the applicable project agreement and, where applicable, completion of required payment.

Clients are responsible for ensuring that they have the necessary rights, licenses, and permissions for any logos, images, text, fonts, software, data, or other materials supplied to Matrix Web Digital.

Nothing in these Terms transfers ownership of third-party materials or services that are subject to separate licenses or terms.

Unless otherwise agreed in writing, Matrix Web Digital may display completed, publicly available work in its portfolio, website, case studies, presentations, or other marketing materials.

If a project contains confidential information or the client requires the work to remain private, the parties may agree to appropriate confidentiality or portfolio restrictions in writing.

We will not intentionally disclose confidential information that we have specifically agreed to keep confidential.

We provide our services with reasonable professional care and in accordance with the applicable project agreement.

Except where expressly stated in a written agreement, the website and services are provided without warranties beyond those that cannot legally be excluded.

We do not guarantee that a website, application, design, automation, or other deliverable will achieve a particular business result, revenue level, search ranking, conversion rate, number of leads, or other commercial outcome.

We also do not guarantee uninterrupted or error-free operation of websites, applications, integrations, or third-party services.

To the maximum extent permitted by applicable law, Matrix Web Digital LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the use of our website or services.

This may include loss of profits, revenue, business opportunities, data, or other intangible losses.

To the extent permitted by applicable law, our total liability arising from a particular project or service will not exceed the amount actually paid to Matrix Web Digital for the specific service or project giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

Either party may terminate a project or service according to the applicable written agreement.

If a project is terminated, the client remains responsible for fees for work completed and approved expenses incurred up to the effective termination date, subject to the applicable agreement and our Refund Policy.

We may suspend or terminate access to our website or services if a user violates these Terms, engages in unlawful or abusive conduct, or creates a security or operational risk.

Matrix Web Digital will not be responsible for delays or failures caused by circumstances beyond our reasonable control.

Such circumstances may include natural disasters, widespread internet or infrastructure failures, major technical outages, acts of government, labor disruptions, cyber incidents, failures of third-party services, or other events that could not reasonably be prevented or controlled.

We may update these Terms from time to time to reflect changes to our business, website, services, or applicable legal requirements.

When changes are made, we will update the "Last updated" date at the top of this page.

Your continued use of the website after an updated version becomes available constitutes acceptance of the updated Terms to the extent permitted by applicable law.

These Terms will be governed by applicable law as determined by the governing-law provisions of the applicable client agreement.

Where no separate written agreement specifies governing law, these Terms will be governed by the laws applicable to Matrix Web Digital LLC, without regard to conflict-of-law principles.

Any dispute arising from a specific project may also be subject to the dispute-resolution provisions contained in the applicable project agreement.
